These Terms & Conditions (the “Terms”) govern your access to and use of the https://www.ocjewishstudy.org/ website (the “Site”). These Terms are a legally binding contract between you and the Samueli Foundation (“Samueli Foundation”, “we”, “us”, or “our”) regarding your access to and use of the Site. For purposes of these Terms, “you” or “your” means the individual accessing or using the Site or, if the Site is accessed or used on behalf of a business or other organization, that business or organization.

BY ACCESSING, USING, OR INTERACTING WITH THE SITE, YOU ARE INDICATING THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THESE TERMS. IF YOU DO NOT AGREE TO THESE TERMS, PLEASE DO NOT USE THE SITE.

We reserve the right to revise these Terms, at our sole discretion, at any time. It is your responsibility to check these Terms periodically for changes. Your continued use of the Site after any such update constitutes your binding acceptance of such changes, except where applicable law requires additional notice regarding such updates, in which case we will comply with such additional notice requirements.

1. Acceptance and Eligibility.

a. Acceptance of the Terms. By accessing or using the Site, you accept and agree to be bound and abide by these Terms and acknowledge that you have read our Privacy Policy.  If you do not agree to be bound by these Terms or any provisions hereof, please do not access or use the Site.

b. Eligibility. You may only use the Site if you can form a binding contract with the Samueli Foundation (either on behalf of yourself or the entity you represent, if applicable), and only in compliance with the Terms and all applicable laws, rules and regulations. If you do not meet the eligibility requirements in this Section, you must not access or use the Site.

You must be at least eighteen (18) years of age to access or use the Site. By accessing or using the Site, you represent and warrant that you meet this eligibility requirement. You cannot access or use the Site if you are barred from using the Site under applicable law or have previously been suspended or removed from the Site.

2. Access to and Use of the Site.

a. Use of the Site. The Site is provided solely for personal, educational, research, community planning, and other informational purposes.  Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Site solely for these purposes. Except as expressly permitted by these Terms or otherwise authorized by us or the applicable rights holder, you may not reproduce, republish, distribute, sell, license, or commercially exploit substantial portions of the Site or its content.  Except for the foregoing limited license, no right, title or interest in or to the Site or any content made available through the Site shall be transferred to you.

b. Informational Purposes Only. The content and materials made available through the Site are provided for general informational purposes only. They are not intended to constitute, and should not be construed or relied upon as, professional advice or as a recommendation regarding any particular course of action. You are solely responsible for evaluating the accuracy, completeness, and usefulness of any information made available through the Site and for any decisions you make based on such information.

c. Submissions. The Site may allow you to submit questions, comments, suggestions, feedback, or other information to us (collectively, “Submissions”).  You are solely responsible for any Submissions, and you represent and warrant that you have all rights necessary to provide them to us. You may not submit any content that is unlawful, infringing, harmful, or otherwise violates these Terms or the rights of any third party. Please do not include sensitive personal information or other confidential information in your Submissions. We may use and respond to your Submissions for purposes of addressing your inquiry and otherwise as described in our Privacy Policy.

3. Intellectual Property.

a. The Site. Except for content owned by or licensed from third parties, as between you and the Samueli Foundation, the Samueli Foundation retains all rights, title, and interest in and to the Site, including without limitation any content, data, organization, graphics, design, compilation, magnetic translation, sound, artwork, computer code, digital conversion, logos, names, patents, trademarks, service marks, product and service names, slogans, copyrights, and all the intellectual property rights therein or relating thereto.  Nothing in these Terms shall be interpreted to provide you with any rights in the foregoing, except the limited right to use the Site expressly set forth herein.

b. License to Submissions. By submitting a Submission through the Site, you grant us a non-exclusive, worldwide, royalty-free license to use, reproduce, modify, adapt, and otherwise process your Submission as reasonably necessary to review and respond to your inquiry, operate and improve the Site, and for other purposes described in our Privacy Policy. You further grant us the right to use, reproduce, modify, adapt, publish, and display the substance of your Submission, including any question you submit, for informational purposes, such as in frequently asked questions or other informational content made available through the Site, provided that we will not publicly identify you as the source of the Submission or include your personal information in such use without your consent. To the extent your Submission includes any ideas, suggestions, recommendations, or other feedback regarding the Samueli Foundation, or the Site or any content therein, we may use and incorporate such feedback for any purpose without restriction, attribution, or compensation to you.

4. Acceptable Use and Use Restrictions. You may use the Site only for lawful purposes and in accordance with these Terms. You agree not to, directly or indirectly: (i) use the Site in violation of any applicable law or regulation; (ii) interfere with, disrupt, damage, disable, or impair the operation or security of the Site or any systems or networks connected to the Site; (iii) attempt to gain unauthorized access to the Site or any systems, networks, accounts, or data associated with the Site; (iv) use any robot, spider, scraper, crawler, or other automated means to access, collect, scrape, copy, extract, or otherwise obtain content or information from the Site; (v) circumvent or attempt to circumvent any measures designed to prevent or restrict access to the Site or its content; or (vi) use the Site or its content for any commercial purpose or in any manner inconsistent with its intended purpose or these Terms.

6. Warranty Disclaimer. THE SITE IS PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. USE OF THE SITE IS AT YOUR OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SITE IS PROVIDED WITHOUT WARRANTIES AS TO THE RELIABILITY, TIMELINESS, QUALITY, SUITABILITY, AVAILABILITY, ACCURACY OR COMPLETENESS OF THE SITE, AND THE SAMUELI FOUNDATION HEREBY DISCLAIMS, TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALL REPRESENTATIONS AND WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.  WITHOUT LIMITING THE FOREGOING, THE SAMUELI FOUNDATION, ITS SUBSIDIARIES, ITS AFFILIATES, AND ITS LICENSORS DO NOT WARRANT THAT (i) THE SITE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS; (ii) THE SITE WILL BE AVAILABLE AT ANY PARTICULAR TIME OR LOCATION; (iii) THE SITE IS FREE OF ERRORS; (iv) THE FUNCTIONS OR FEATURES OF THE SITE WILL BE UNINTERRUPTED, SECURE, OR FREE OF ERRORS; (v) DEFECTS WILL BE CORRECTED, OR (vi) THE SITE IS FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

THE SAMUELI FOUNDATION MAKES NO WARRANTY THAT IT WILL UPDATE OR CONTINUE TO OFFER OR MAKE AVAILABLE THE SITE FOR ANY PARTICULAR LENGTH OF TIME. THE FOREGOING DISCLAIMERS SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, AND SHALL SURVIVE ANY TERMINATION OR EXPIRATION OF THESE TERMS OR YOUR USE OF THE SITE.

YOU ACKNOWLEDGE AND AGREE THAT, TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE ENTIRE RISK ARISING OUT OF YOUR ACCESS TO AND USE OF THE SITE REMAINS WITH YOU.

7. Third-Party Content. The Site may contain links to third-party materials that are not owned or controlled by us. We do not endorse or assume any responsibility for any such third-party sites, information, materials, products, or services. If you access a third-party website or service from the Site or disclose your information or data on or through any third-party website or service, you do so at your own risk, and you understand that these Terms and our Privacy Policy do not apply to your use of such sites. You expressly relieve the Samueli Foundation from any and all liability arising from your use of any third-party website, service, or content, including without limitation content, data, information and/or materials submitted by other users.

8. Indemnification. To the fullest extent permitted by law, you agree to indemnify, defend, and hold the Samueli Foundation and its respective officers, directors, employees, shareholders, and representatives (and all successors and assigns of any of the foregoing), harmless from and against any third-party claim or demand, including without limitation, reasonable lawyers’ fees and disbursements, in connection with or arising out of (i) your use of the Site, (ii) your connection to the Site, (iii) your Submissions or your submission or transmission thereof, (iv) your violation of the Terms, (v) your violation of an applicable law or regulation, or (vi) your violation of any rights of another. We reserve the right, at our own expense, to assume the exclusive defense and control of such disputes, and in any event you will cooperate with us in asserting any available defenses.

9. Limitation of Liability.

a. Disclaimer of Indirect Damages. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL THE SAMUELI FOUNDATION OR ITS AFFILIATES, OR ANY OTHER PARTY INVOLVED IN CREATING, PRODUCING, OR DELIVERING THE SITE OR CONTENT, OR ANY OF THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR REPRESENTATIVES BE LIABLE TO YOU OR ANY OTHER PERSON OR ENTITY FOR ANY INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING ANY LOSS OF PROFITS, LOSS OF DATA, DAMAGE TO ANY COMPUTER OR DEVICE, OR LOSS OF USE, ARISING OUT OF OR IN CONNECTION WITH THE SITE, ITS CONTENT, OR ANY LINKS OR CONNECTIONS PROVIDED THROUGH THE SITE, REGARDLESS OF THE THEORY OF LIABILITY AND WHETHER OR NOT THE SAMUELI FOUNDATION HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

b. Aggregate Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE AGGREGATE LIABILITY OF THE SAMUELI FOUNDATION, ITS AFFILIATES, AND THEIR RESPECTIVE DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND REPRESENTATIVES ARISING OUT OF OR IN CONNECTION WITH THE SITE, ITS CONTENT, OR THESE TERMS SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100).

c. Jurisdictional Limitations. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS SET FORTH ABOVE MAY NOT APPLY TO YOU.  IF YOU ARE DISSATISFIED WITH ANY PORTION OF THE SITE OR WITH THESE TERMS, YOUR SOLE AND EXCLUSIVE REMEDY IS TO DISCONTINUE USE OF THE SITE.

10. Modification, Suspension, and Termination.

a. Modification of Site. Except as prohibited by applicable local legal requirements, we reserve the right to modify or discontinue the Site (or any portion thereof), temporarily or permanently, for any reason whatsoever, with or without notice.  You agree that we will not be liable to you for any such modification, suspension or discontinuance of the Site.

b. Suspension and Termination. We may, in our sole and absolute discretion, terminate, suspend, or otherwise deny your access to all or part of the Site at any time for any or no reason at all, with or without notice to you. If we terminate your right to access the Site, these Terms will terminate and all rights granted to you herein with respect to the Site will immediately terminate; however, certain provisions of these Terms will still apply after termination. Termination of your use or access to the Site may also include, at the Samueli Foundation’s sole discretion, the deletion of your Submissions. Notwithstanding the foregoing, upon such termination, the Samueli Foundation reserves the right to archive your Submissions to the extent necessary to comply with legal and/or audit requirements or other applicable data retention policies.

11. Miscellaneous.

a. Entire Agreement.  These Terms constitute the entire agreement between you and the Samueli Foundation with respect to your use of the Site, and supersede any prior and contemporaneous agreements between you and the Samueli Foundation on the subject matter.

b. Force Majeure. Under no circumstances will we be liable for any delay or failure in performance resulting directly or indirectly from an event beyond its reasonable control.

c. Statute of Limitations. You agree that regardless of any statute or law to the contrary, any claim or cause of action arising out of or related to the use of the Site, or the Terms, must be filed within one (1) year after such claim or cause of action arose or be forever barred.

d. No Waiver. No waiver of any term of these Terms shall be deemed a further or continuing waiver of such term or any other term, and our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

e. Severability. Each of the provisions of these Terms operates separately. If any court or relevant authority decides that any of them are unlawful or unenforceable, the remaining provisions will remain in full force and effect.  In the event that any provision is deemed unlawful or unenforceable, you and the Samueli Foundation agree that such provision shall be modified or amended by the court or relevant authority to the extent necessary to render it enforceable, in accordance with the intent of the original provision. The modified provision shall be interpreted so as to reflect the original intent of the parties as closely as possible, while remaining compliant with applicable law.

f. Third-party beneficiaries. Except as otherwise expressly provided in these Terms, there shall be no third-party beneficiaries to these Terms.

g. No agency. No agency, partnership, joint venture or employee-employer relationship is intended or created by these Terms, and you shall have no right or authority to assume or create any obligations or to make any representations on behalf of the Samueli Foundation, or to bind us in any respect.

h. Assignment. These Terms, and any rights and licenses granted hereunder, may not be transferred or assigned by you without our prior written consent.  We may assign these Terms without restriction. Any attempted transfer or assignment in violation hereof shall be null and void.

i. Headings. Headings and subheadings in these Terms are for convenience only and have no legal or contractual effect.

j. Survival. Any provision of these Terms that by its nature is reasonably intended to survive beyond termination of these Terms shall survive.

k. Governing Law and Jurisdiction. To the extent permitted by applicable law, these Terms will be governed and construed in accordance with the laws of the State of California without giving effect to any choice of laws principles that would require the application of the laws of a different jurisdiction. To the extent permitted by applicable law, any action or proceeding arising from, relating to or in connection with the Site or these Terms will be brought exclusively in the federal or state courts located in Orange County, California, and you irrevocably consent to the personal jurisdiction of such courts and agree that it is a convenient forum and that you will not seek to transfer such action or proceeding to any other forum or jurisdiction, under the doctrine of forum non conveniens or otherwise.
